File Transfer vs Data Rooms

AMS File Transfer, AMS File Shares and AMS Data Rooms exist to move sensitive documents internally or externally without losing control. These systems are all built on the same high standard security foundations — whether for a disclosure, a defined project, or a regular flow of sensitive files, the question is which is the right choice: secure file transfer, a file share, or a data room?

The right choice is determined by the nature of the work itself. This article sets out the practical differences between the three — structure, lifespan and control — so that you can identify the best fit for your own scenario with confidence.

Start with what they share

Underneath, the security is similar: files encrypted in transit and at rest using 256-bit AES, hosting in UK Microsoft Azure data centres, and a full audit trail of access and activity. Whichever you choose, the confidentiality baseline is the same — so the question is not which is safer, but which fits the work. That comes down to three things: the shape of the work, its lifespan, and what kind of access controls are needed.

The three options, at a glance

  • File transfer — A-to-B two-way encrypted delivery: send a file, receive a file, retain control of it after you hit send.
  • File shares — Ongoing shared spaces where teams, customers and partners collaborate on files from one central location.
  • Data rooms — A structured, indexed workspace for defined legal cases, projects or transactions, with contained access for multiple parties and a downloadable content report.

The four questions that will help you decide

1. What’s the shape of the work?

If files need to move from your organisation to another party, that’s file transfer. If a group needs to keep working on the same files over time, that’s a file share. If many parties, internal and external, need to work through a large body of documents for one defined piece of work in a structured way — a transaction, a legal matter, an audit — that’s a data room.

2. Does it have an end date?

Data rooms are built around a defined piece of work: set up for the project, used for the project, and formally closed at the end — with administrators able to download a complete copy of the data room for long-term storage or future reference. File transfer and file shares are open-ended: files come and go as everyday work demands, with no end-of-project archive because there is typically no defined end to the project.

3. How much structure does the material need?

A data room follows a rigid, consistent index — documents are numbered under an agreed reference framework, and the folder structure can be locked to maintain stability once that structure is agreed. That’s essential when the document count runs into the hundreds or thousands and multiple parties need to locate and reference the same documents consistently. File transfer and shares are flexible by design: no index and no numbering system — well suited to the everyday movement of files.

4. What kind of access controls are needed?

This is the subtlest difference. A data room controls people through access: administrators grant each party only what they need to see, and full audit logging records who did what inside the workspace. File transfer assumes less control over the far end — you’re often sending to people outside any workspace you administer. However, it does provide you with options, such as Digital Rights Management. These are per-file restrictions that limit downloading, printing or forwarding, so a file stays protected even after it’s left your organisation.

Put simply:

  • AMS Data Rooms allow you to create a controlled and structured environment and determine who is granted access to it and specific content within it.
  • AMS File Transfer is typically used when a file is leaving your organisation or coming into your organisation as a point-to-point encrypted transfer. It will have a file expiry date and allows you to add optional controls, such as Digital Rights Management.
  • AMS File Shares are ongoing shared spaces where all parties can securely share and collaborate on files with longer term storage and functionality, such as version control.

In practice, these are not competing products; they are complementary tools with distinct roles. An NHS organisation might use AMS File Transfer — already used across NHS and healthcare environments — for everyday secure delivery, and open an AMS Data Room for a one-off audit or programme of work.

Problems tend to arise when one tool is stretched across the other’s role: running a transaction out of an unstructured share, or establishing a full data room simply to send a single file securely.

A quick self-check

  • Mostly sending and receiving, retaining control per file? → File transfer.
  • Ongoing collaboration on living documents, no fixed end? → File shares.
  • Defined project, many parties, large document set, record needed at the end? → Data room.

Whichever way your scenario points, the security and compliance foundations underneath are the same — the choice is about fit, not safety.
